What Is a GC Subscription?

A real working relationship. Not a ticket queue.

Most companies don't need a full-time general counsel, but they do need someone who knows their contracts, understands their industry, and is reachable before a problem turns into a crisis.

A GC Subscription with JPG Law gives you exactly that. Ongoing legal coverage at a flat monthly rate. We handle your contracts, compliance questions, employment matters, and day-to-day legal needs as a continuous part of your operations, not a series of one-off engagements.

You get direct access to Jason. Not a paralegal, not a case management system, not someone who needs to get up to speed every time you call. When something comes up, you reach the attorney who already knows your business.

Pacta contract intelligence is included for all GC Subscription clients, at no additional cost. Learn more below.

GC Subscription — ongoing legal counsel
Who It's Built For

Legal coverage matched to how you actually operate

The GC Subscription is designed for companies with ongoing, structural legal needs, not occasional one-off questions. If your business regularly touches contracts, employment, data, or compliance, you're leaving value on the table with hourly outside counsel.

💻
IT & Technology Staffing Firms

You're placing software engineers, IT consultants, and technical project managers against demanding client MSAs. Your contracts have indemnification teeth, your workers face classification pressure, and you're operating across multiple states. You need a GC who has been in that room, not one who's reading the staffing industry playbook for the first time.

☁️
SaaS & Technology Companies

You're negotiating vendor agreements, customer MSAs, and data processing addendums on a rolling basis. Privacy obligations are real: GDPR, CCPA, HIPAA adjacency. They touch your product roadmap, not just your paper. A GC Subscription means those issues are handled continuously, not after they've become a blocker.

🌍
Employers Scaling Nationally

Multi-state employment is complicated by design. Wage and hour, non-compete enforceability, leave law patchwork, independent contractor rules; every new state adds a layer. If you're expanding headcount or entering new markets, ongoing counsel is far cheaper than cleaning up what gets missed.

Coverage

What's included

The GC Subscription covers the full range of legal needs that come with running a technology-forward business. The goal is a comprehensive relationship, not a menu of billable line items.

📄
Contract Review & Negotiation

MSAs, SOWs, vendor and customer agreements, NDAs, licensing deals, and SaaS terms. Redlines, issue spotting, and negotiation support, not just a sign-off.

👥
Employment Law Guidance

Worker classification, multi-state compliance, handbook and policy review, hiring and termination, non-competes, and day-to-day HR legal questions.

🔒
Privacy & Data Protection

GDPR, CCPA/CPRA, and state-level privacy law compliance. Data processing agreements, privacy policies, vendor data reviews, and breach response planning. CIPP/US certified.

Compliance & Risk Management

Ongoing compliance monitoring, multi-state regulatory tracking, insurance requirement review, and proactive risk flagging before issues surface — including multi-state employment compliance audits we run on Pacta Compliance.

🏭
Corporate Governance

Board-level guidance, entity structure, operating agreements, equity documentation, and governance frameworks for companies with active leadership teams.

💬
Day-to-Day Legal Access

Questions that don't fit a category. Pre-call sanity checks, quick issue reviews, and the kind of real-time guidance that prevents small decisions from becoming large problems.

What's not included

Litigation and active court representation, government investigations, and matters requiring licensure in jurisdictions where Jason is not admitted. When a matter calls for specialized or local counsel, Jason coordinates the engagement and remains involved as your legal point of contact, so you're never navigating outside counsel alone.

Included with GC Subscription

Proprietary contract technology — at no additional cost

We built our own contract platform for companies that negotiate agreements at volume. GC Subscription clients get the benefit of it as part of their monthly coverage, at no additional cost.

For IT staffing firms and technology companies, it means incoming client and vendor contracts don't sit in a queue. They get reviewed, redlined, and returned quickly, with tracked changes, a legal memo, and a full audit trail, so your operations don't wait on legal. Your documents stay confidential, and Jason owns every position before it goes back out.

AI-assisted contract review

Incoming agreements are analyzed and redlined in tracked-changes format, ready for Jason's review and your negotiation.

📋
Legal memo with every review

Each contract analysis produces a structured legal memo covering risk points, deal terms, and recommended positions, not just redlines.

📈
Negotiation lifecycle tracking

Counterparty patterns, round-by-round redline history, and deal status, tracked across your full contract portfolio in one place.

👤
Built for IT consulting, staffing, and MSP agreements

It understands the paper that governs these engagements: enterprise MSAs, SOWs, VMS/supplier agreements, and NDAs, including the staffing-specific provisions that general CLM tools miss: classification language, COI pass-throughs, conversion fees, anti-poaching terms, and multi-tier indemnification.

Why JPG Law

Fifteen years in the room. Not reading about it.

Jason currently serves as general counsel or corporate counsel for multiple staffing and technology companies , including Core Personnel Staffing Services, a staffing firm with more than 10,000 billable workers placed annually across all 50 states, as well as Ardor Health Solutions, GreenLight.ai, and Bravia Services LLC. He is also the founder of Pacta, an AI-native contract management platform built specifically for staffing law.

That active client base isn't a credential line. It's today's practice. The foundation for it was built during a decade as corporate counsel at BCforward, an IT staffing and consulting firm with operations across 50 states, Puerto Rico, Canada, and India, through three acquisitions and $500MM in annual revenue. In his final year there, Jason also served as Interim Chief Information Officer, taking on direct oversight of technology infrastructure alongside his legal role. The GC Subscription model exists because that's what the clients Jason works with need: an attorney who already understands the business, not one who bills for the learning curve.

GC Subscription clients work directly with Jason, not a team of associates, not an intake coordinator. Every matter is handled by the attorney who knows your business, your contracts, and your risk tolerance. That's the model.

Common Questions

How it works

Pricing is structured based on the scope of coverage your business needs: the size and complexity of your contract volume, the number of states you operate in, and the level of ongoing engagement that makes sense for your situation. Every engagement starts with a conversation. There's no one-size pricing because there's no one-size scope. Contact us to discuss what makes sense for your business.
It means you have an attorney you can reach when something comes up, not a firm you have to onboard from scratch every time. In practice, that looks like contract reviews turned around quickly, compliance questions answered without a billing clock, and proactive heads-up when a law or regulation changes that affects your business. The specifics of cadence and communication are set at the start of each engagement.
Engagement terms are discussed at the start and typically structured by quarter or year, depending on the client's preference. The goal is a genuine working relationship, not a subscription you forget you're paying for. If the fit isn't right, we'll tell you before you sign.
Pacta is included for all GC Subscription clients. It handles the first-pass analysis on incoming contracts: producing redlines and a legal memo, which Jason then reviews and refines before anything goes back to the counterparty. For clients with significant contract volume, Pacta means faster turnaround without sacrificing attorney oversight. You always get Jason's eyes on the final work product.
Active litigation and court appearances are outside the scope of the GC Subscription. When matters escalate to that stage, Jason coordinates the engagement with outside litigation counsel and stays involved as your point of contact, so you're not navigating it alone. The goal is to keep you out of litigation in the first place.
Yes. JPG Law advises clients nationally on business and employment matters regardless of where they're headquartered. Jason is licensed in Indiana. For matters requiring licensure in a specific state where he is not admitted, he coordinates local counsel as needed.
